CPU: Intel Core 2 duo e8600 3.33ghz
GPU: Nivida Gtx 750ti sc
RAM: 2x2 gb of ddr3 ram.
Hard Drive: 250 GB 7,200 Seagate
Power: 320 watt

With that processor. I doubt it. You have a good gpu but gta is a pretty cpu intensive game. You actually have the same gpu as me but I would suggest getting a better power supply, ram, hard drive, and cpu. Just my .02 tho.

I can run sim 40 people med 125 fps

That processor is about equal to their minimum requirements (actually performs better in single threaded applications), you meet the ram requirements and your graphics card is quite a better than the minimum requirements. Your power supply exceeds the minimum needed for your GPU so you're also fine there. I'd say you're good to go. Won't get the highest quality but it's definitely playable.

You just basically told him to buy an entire new PC. That's unnecessary.
